Marcia Nass, General Counsel

Ms. Marcia Thayer Nass is the General Counsel of EWP.  Since 2008, Ms. Nass has been responsible for all legal matters for the company, including governance, compliance and contracting with third parties. She conducts due diligence for potential investments, drafts and negotiates agreements, and researches and advises on legal issues.

Prior to joining East West Resources, from 2007 until 2008 she was an Associate Director and Corporate Counsel for MedImmune, Inc., a public biomedical company that develops, manufactures, and markets formulations for use in immunization programs, including live virus vaccines.  She was counsel to the research, development, clinical and business development areas.

Prior to MedImmune, Inc., from 2001 until 2007, Ms. Nass practiced commercial and intellectual property law for Peacock, Myers, P.C. focusing on technology commercialization in the areas of biotechnology, engineering, national security, transportation and computer law.  Ms. Nass drafted organizational documents, advised on legal issues, structured transactions for the development of intellectual property, and drafted and negotiated licensing agreements.

Prior to practicing intellectual property law at Peacock, Myers, P.C., from 1995 until 1998, Ms. Nass was Senior Counsel for Commercial Law at Schering-Plough Corporation, a public pharmaceutical company developing, manufacturing and marketing medical products for the treatment of respiratory disease, cancer and immune deficiencies.  Ms. Nass handled transactions for the company, including the acquisitions of Canji, Inc. and G. Mallinckrodt & Company’s Animal Health Division.

Prior to Schering-Plough Corporation, from 1991 until 1995, Ms. Nass was a Senior Attorney for Merck & Co., Inc., a pharmaceutical company, in the Merck Research Laboratories Division and Corporate Licensing.  Ms. Nass handled transactions relating to the licensing of intellectual property, collaborative research and development, joint ventures, distribution and manufacturing, among others.

Ms. Nass began her career in New York City and handled banking matters at Winthrop, Stimson, Putnam & Roberts, LLP and at Shearman & Sterling, LLP.  She practiced in the venture capital area for O’Sullivan, Graev & Karabell, LLP.  Ms. Nass is a member of the New York, California and New Mexico State Bars.
